Agreement to Terms
By accessing and using OfferLifts ("the Network," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our services.
Definitions
- Publisher/Affiliate: An individual or entity that promotes advertiser offers through approved marketing methods.
- Advertiser: An individual or entity that provides offers for publishers to promote.
- Offer: A marketing campaign provided by advertisers for publishers to promote.
- Conversion: A completed action as defined by the advertiser (sale, lead, install, etc.).
- Commission: Payment earned by publishers for valid conversions.
Account Registration
Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By registering, you represent and warrant that all information provided is accurate and complete.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Publisher Terms
Approval Process
All publisher applications are subject to review and approval. We reserve the right to reject any application or terminate any account at our sole discretion.
Prohibited Traffic Sources
Publishers are strictly prohibited from using the following traffic sources unless explicitly approved:
- Incentivized traffic or rewards-based programs
- Bot traffic or automated systems
- Misleading or deceptive advertising
- Trademark bidding without authorization
- Adult traffic (unless promoting adult offers)
- Spam email or unsolicited communications
- Fraudulent or illegal activities
- Cookie stuffing or forced clicks
- Toolbar or adware installations
Compliance
Publishers must comply with all applicable laws, regulations, and offer-specific terms. This includes but is not limited to:
- FTC guidelines and disclosure requirements
- GDPR and other data protection laws
- CAN-SPAM Act and anti-spam regulations
- Advertiser-specific terms and restrictions
Advertiser Terms
Offer Requirements
Advertisers must provide accurate offer details, including:
- Clear conversion definitions and requirements
- Accurate payout amounts and payment terms
- Any geographic or traffic restrictions
- Prohibited marketing methods
Conversion Tracking
Advertisers are responsible for implementing proper tracking and reporting conversions accurately. Any disputes regarding conversions must be raised within 30 days.
Payments
Publisher Payments
- Payments are processed weekly, subject to a minimum threshold of $100
- Payment methods include Wire Transfer, PayPal, Payoneer, and Bitcoin
- Publishers are responsible for any fees associated with their chosen payment method
- Payments may be held or reversed for fraudulent or invalid conversions
Advertiser Payments
- Advertisers must maintain sufficient funds to cover campaign costs
- Payment terms are NET-30 unless otherwise agreed
- Late payments may result in campaign suspension
Fraud and Quality Control
We maintain a zero-tolerance policy for fraudulent activities. Any suspected fraud will result in:
- Immediate account suspension or termination
- Forfeiture of all unpaid commissions
- Potential legal action and reporting to authorities
- Permanent ban from the network
Intellectual Property
All content, trademarks, logos, and intellectual property on OfferLifts are owned by us or our licensors. You may not use, reproduce, or distribute any content without explicit written permission.
Marketing Materials
Publishers may use approved marketing materials provided by advertisers. Any modification or unauthorized use is strictly prohibited.
Confidentiality
Both parties agree to keep confidential any proprietary information, including but not limited to:
- Offer details and payout rates
- Performance data and statistics
- Business strategies and methodologies
- Technical information and tracking methods
Termination
Either party may terminate their account at any time with written notice. We reserve the right to terminate any account immediately for:
- Violation of these terms and conditions
- Fraudulent or suspicious activities
- Non-payment or breach of payment terms
- Inactivity for extended periods
Upon termination, all unpaid commissions for valid conversions will be paid according to the normal payment schedule.
Limitation of Liability
To the maximum extent permitted by law, OfferLifts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Indemnification
You agree to indemnify and hold harmless OfferLifts and its affiliates from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
Dispute Resolution
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the laws of New York, United States. Both parties agree to waive their right to a jury trial.
Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be communicated via email or platform notification.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These terms constitute the entire agreement between you and OfferLifts regarding the use of our services and supersede all prior agreements and understandings.
